The family-governed holding company behind the LifeSync ecosystem

Mlandeli-Notemba Investments (MNi) is the registered South African holding and IP-governance parent. Its operating company, LifeSync by MNi (registered as LifeSync by MNi), builds and runs a family-first ecosystem of digital products for African households and communities. This centre is the master page for investors, partners, licensors and institutions: the structure, the portfolio, and the ways to engage.

The thesis

Why family-first African infrastructure

The problem

Most digital platforms were built for people who already have connectivity, credit histories and formal institutions. The majority of African economic life runs through households, informal trade and community networks that those platforms treat as invisible.

The approach

LifeSync is designed with the family as the operating unit: offline-first products, identity anchored in a living record rather than a bank account, and governance tooling that serves formal and informal economies equally.

The edge

A single ecosystem where the products share identity, trust and distribution — built by the family that uses it, governed for permanence rather than for an exit. Investment accelerates what is already being built; it does not define it.

Ecosystem portfolio

Six clusters, one ecosystem

The products below operate under the LifeSync by MNi brand family. Live build status and downloads for the public portfolio are published on the LifeSync Ecosystem Downloads Centre.

Market opportunity

The opportunity

The ecosystem targets households, informal businesses and communities that mainstream software under-serves. Segment sizes below are directional public estimates, not audited market research.

    Hundreds of millions

  • Adults worldwide without formal financial identity

Over a billion (published global estimates)

  • South African SMMEs needing formalisation support

    Millions

  • African households with school-age children

Separate companies, distinct roles

A company name or product brand is not itself a separate company. MNi and LifeSync are separate legal persons even where MNi is the sole shareholder.

  1. Mlandeli-Notemba Investments (MNi)

    Non-trading holding and governance company

MNi has the designated IP-holding and licensing role, subject to proof of title or authority for each asset. Its ownership is also intended to remain protected from dilution through MNi-specific governance and company documents; the current MOI and share register require verification. MNi is the intended direct parent and sole shareholder of LifeSync.

Family-descendant ownership applies within MNi only. It does not give MNi descendants automatic shares, options, board roles, or beneficial interests in LifeSync or another subsidiary.

  2. Intended direct ownership from MNi

    LifeSync by MNi

Separate operating company — registered as LifeSync by MNi (CIPC 2026/735367/07)

Registered name LifeSync by MNi is owner-confirmed (2026-10-08). The actual share issue, securities register, and beneficial-owner filings have separate company-record requirements. Its separate juristic personality is confirmed by incorporation.

LifeSync is intended to trade the ecosystem brands holistically at first. It will use MNi-licensed assets where MNi has title or authority, under written terms that still require completion and review.

The no-dilution direction concerns ownership. Any debt or other funding arrangement remains subject to separate owner, board, and legal review and may not be described as an equity offer.

  3. Currently a LifeSync-operated brand

    Sazi Life Academy

    Owner-directed immediate direct-MNi company — registration pending

The owner has directed that Sazi Life Academy be incorporated as a separate company owned 100% directly by MNi and licensed by MNi. Until its CIPC registration, share issue, director appointments and licence records exist, the Academy remains a LifeSync-operated brand and must not be described as a registered subsidiary.

  4. Parent selected per venture

    Other future companies

Direct MNi ownership or ownership under LifeSync

The parent is selected by the venture's purpose, operating logic, risk, funding and governance needs. A future company may have minority or outside owners only under its own approved cap table and shareholder terms; no percentage is predetermined. MNi descendant ownership does not cascade to it.

Technology and innovation

What makes the ecosystem different

LifeCV — the living identity record

A person-anchored identity that records real activity and credentials over time, designed for people whose value is not captured by bank accounts or formal CVs.

Offline-first and mesh-capable

Core products are built for low-connectivity environments: they work without internet and sync when connectivity returns, including mesh messaging through Sonny.

Seal and provenance framework

Tamper-evident provenance on documents, credentials and decisions — trust that can be checked without expensive intermediaries.

Family as the operating unit

The ecosystem is designed around households and communities, not only individuals — governance, safety, education and money tools that treat the family as the natural economic unit.

Ways to engage

Licensing, partnership and funding pathways

Every engagement starts as a governed conversation routed through the canonical MNi contact workflow. Nothing on this page is an offer of securities, an invitation to subscribe, a promise of returns, or a predetermined allocation.

IP and brand licensing

MNi holds the designated IP-holding and licensing role for the ecosystem. Where asset-level title or authority is evidenced, defined IP and brand rights can be licensed under written agreement with scope, term and quality control.

Discuss licensing

Product and venture partnerships

Joint ventures and partner participation are considered only inside a separately approved venture company with its own cap table and agreements. MNi and LifeSync themselves are not open to dilution.

Discuss a partnership

Funding and impact conversations

Grant, social-impact and debt funding conversations are welcome where mandates align with family-governed African digital infrastructure. This page is not an offer or solicitation.

Discuss funding

Distribution and channel

OEM hardware, telco and community-cloud distribution conversations for the ecosystem portfolio, including mesh-first products designed for low-connectivity environments.

Government, institutional and development-agency enquiries use the same workflow: open a government/stakeholder conversation.
Company governance

Separate boards and reserved decisions

MNi's current directors are intended to serve initially as LifeSync directors. Their names, consent and formal LifeSync appointments remain pending. If a person serves on both boards, each company still records its own decisions, conflicts and fiduciary duties.

The topics below are a proposed reserved-matters framework for counsel and the relevant boards to adopt in effective company documents. They are not represented as currently binding approvals or as a substitute for any director's duties.

  • Changes to constitutional documents, share rights, or ownership of a group company
  • Acquisition, assignment, transfer, or material licence of strategic intellectual property
  • Incorporation, spin-out, sale, or change of parent for a material venture
  • Material intercompany services, data, technology, cost-sharing, or funding agreements
  • Material debt, guarantees, security, or related-party transactions

The final authority, thresholds, approval sequence and conflict process require entity-specific MOIs, resolutions and intercompany agreements. MNi's shareholder decisions do not erase LifeSync's separate board role.

Traction and numbers

Where we are — what is on the record

Only registry- and provider-evidenced facts are shown as numbers. Operating metrics quoted in earlier materials (user counts, trip volumes, code size) are withheld here until they are independently verified for publication.

Revenue model

How the ecosystem is intended to earn

Personal tools stay free; revenue is designed around professional, enterprise and institutional tiers. Stages reflect the current public status of each stream — this is an intended model, not audited revenue.

Participation structure

How participation works — and what is not on offer

  • MNi is intended to remain a family-governed holding company. Control of MNi itself is owner-directed as non-dilutive; no public equity offer exists for either company.
  • No share class, allocation, minimum, valuation or return is offered on this page. Any future instrument would require adopted company documents, board approval and legal review before it could exist.
  • Participation is conversation-first: licensing, debt, grant or impact funding, joint ventures inside an approved venture company, and foundry revenue-share builds are the available shapes.
  • Any arrangement is written down per entity — LifeSync board and MNi shareholder decisions remain separate, and pending registrations are disclosed rather than assumed.

A confidential investor brief is prepared separately and is only shared on request through the contact workflow — it is not published or linked from this page.

Leadership

The people on record

Visa Mdeni

Director of record — both companies (CIPC-evidenced)

Sole registered director on the current CIPC records of MNi and the operating company. The intended public face of LifeSync, with gradual succession over time.

Salatiso Mdeni

Technical founder and architect

Built the ecosystem codebase and holds default bulk responsibility across the companies by owner direction. Intended additional director — appointment pending CIPC evidence.

Nozukile Cynthia Mdeni

Intended additional director — pending

Named in the owner-directed intended director slate for both companies. A formal appointment requires consent and CIPC appointment evidence before it is presented as fact.

Directors are individuals holding an office; shareholding is separate. No director owns shares in either company by virtue of holding office.
